
The Communiqué Amending the Communiqué on the Singing of the Articles of Association Before the Trade Registries has entered into force upon being published in the Official Gazette dated 22 July 2020, No. 31193. By this Communiqué, paragraph 6 of article 13 of the Communiqué Amending the Communiqué on the Singing of the Articles of Association Before the Trade Registries has been amended as follows;
Old Text of the Communiqué: The signature declarations of authorized signatories residing in a foreign country may also be submitted by having the signatures of such signatories certified by the Turkish consulate in that country.
New Text of the Communiqué: The signature declarations of authorized signatories residing in a foreign country may be issued by having the signatures of such signatories certified by the Turkish consulate in that country or by the authorized bodies thereunder the legislation of that country. The signature declarations issued by the authorized bodies of the foreign country shall be certified by the Turkish Consulate or in accordance with the provisions of the Convention Abolishing the Requirement of Legalisation for Foreign Public Documents, and be submitted to the Trade Registry Directorate together with its notarized Turkish translation.
It has been abandoned the obligation to issue the signature declarations before the Turkish consulate, which is difficult to implement and time-consuming regulation in practice for the authorized signatories residing in the foreign country, and the application for registration with apostilled signature declarations to be issued by the foreign authorized bodies together with its notarized Turkish translation remedy has been introduced by this Communiqué.
It should be noted that this regulation is valid for the signature declarations to be issued only for the authorized signatories residing in the foreign country.
The signature declarations of the authorized signatories residing in Turkey shall be issued before the Trade Registry Directorate as per Article 40 of the Turkish Commercial Code No. 6102.
